1. Acceptance of Terms

No attorney-client relationship, fiduciary relationship, or confidential relationship is created by your use of the Site or Services.
3. Description of Services
We offer document preparation and filing services for business entities, which may include:
- Preparation and filing of formation documents (Articles of Organization, Articles of Incorporation, etc.) with state agencies;
- Preparation and submission of Federal Employer Identification Number (EIN) applications with the Internal Revenue Service;
- Preparation and filing of annual or biennial reports;
- Preparation and filing of amendments, dissolutions, foreign qualifications, and other entity-related filings; and
- Such other services as we may offer from time to time.
The specific services included in your order are those you select at checkout and as described in your order confirmation.
4. Fees
4.1 Service Fees
Our service fees ("Service Fees") are the amounts we charge for preparing and filing documents on your behalf. Service Fees are listed on the Site and confirmed at checkout.
4.2 State and Government Fees
State filing fees, federal fees, and other government charges ("Government Fees") are separate from our Service Fees and are paid to the relevant government agency. Government Fees are determined by the agency, are subject to change without notice by the agency, and are passed through to you without markup.
You authorize us to collect Government Fees from you on behalf of the relevant agency or to invoice you separately for them. You are responsible for paying all Government Fees applicable to your filing.
4.3 Expedited and Add-On Services
Expedited processing, same-day processing, and other add-on services carry additional fees as listed at checkout. State agencies may charge additional fees for expedited filings, which are passed through to you.
4.4 Taxes
You are responsible for any applicable sales, use, or similar taxes on our Services.
5. Your Responsibilities
You agree that:
(a) All information you provide is accurate, complete, and truthful. We rely on the information you provide. We do not independently verify it. You are solely responsible for the accuracy of names, addresses, identification numbers, signatures, and any other information you submit.
(b) You have the authority to submit the order. You represent that you are at least 18 years old, that you have the legal capacity to enter into this agreement, and that, if you are submitting the order on behalf of a business or another person, you have the authority to do so.
(c) You will not use the Services for any illegal or fraudulent purpose, including but not limited to filing documents under a false name, evading taxes, money laundering, or any purpose prohibited by federal, state, or local law.
(d) You will respond promptly to our requests for additional information or clarification. Delays in providing requested information may delay your filing and may result in rejection by the state.
(e) You will provide a valid email address at which you can be reached. Most communications, including delivery of stamped documents, are sent by email.
6. Filing Risks and Limitations
6.1 State Processing Times
State agencies set their own processing times. Our turnaround estimates reflect our preparation time only. Actual time to receive stamped documents depends on state processing, which is outside our control and varies by state, time of year, and order volume at the agency.
6.2 Rejections
State agencies may reject filings for reasons including but not limited to: name unavailability, missing or invalid information, prohibited words, failure to meet state-specific requirements, or technical errors at the agency. If your filing is rejected, we will notify you of the rejection and the stated reason; we will work with you to correct and resubmit the filing if possible; and refunds are governed by our Refund Policy.
6.3 No Guarantee of Specific Outcomes
We do not guarantee that your filing will be approved by the state, that your business name will be available, that your business will achieve any particular legal, tax, or financial outcome, or that any specific document will be appropriate for your situation. We guarantee only that we will prepare and submit the documents you order based on the information you provide.
7. Refund Policy
Our Refund Policy is incorporated by reference into these Terms.
8. Account Security
If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [support@fastcorpfiling.com] of any unauthorized access.
9. Communications
You agree to receive communications from us by email at the address you provide, including order confirmations, status updates, document delivery, compliance reminders, and administrative notices. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS, THAT FILINGS WILL BE PROCESSED WITHIN ANY SPECIFIC TIME, OR THAT THE SITE WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FASTCORPFILING, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT OF SERVICE FEES YOU PAID TO US FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT THAT GAVE RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
